Welcome to invest and start a business in Beijing. To help you better understand the registration process for market entities, we provide you with the requirements and procedures for establishment registration for limited companies.
If your company falls into any of the following categories, you may apply to or consult the Municipal Administration for Market Regulation.
1. Central SOEs, foreign-invested enterprises, and other enterprises authorized for registration by the State Administration for Market Regulation;
2. Companies where the municipal state-owned asset supervision and administration authorities fulfill their responsibilities as investors, as well as those in which such companies hold more than 50% of the shares through investment;
3. Joint-stock companies established through public fundraising;
4. Enterprises that should be registered with the municipal authority in accordance with the law, administrative regulations, decisions of the State Council, and other relevant regulations.
If your company does not fall into the above categories, you can apply to or consult the Administration for Market Regulation in the district where you intend to register the enterprise.
Registration Conditions
1. Have an eligible company name
The company name generally consists of four parts in sequence: administrative division + trade name + industry characteristics + organizational form.
2. Have eligible shareholders
The number of shareholders in a limited company shall be between 1 (inclusive) and 50 (inclusive). The number of promoters in a joint-stock company shall meet the statutory requirement, with at least 2 (inclusive) and no more than 200 (inclusive) promoters, and more than half of these promoters shall have a domicile within the territory of China. The investor of a wholly state-owned company is the state-owned asset supervision and administration authority of the people's government at all levels.
3. Have eligible capital contributions
Shareholders can make capital contributions in the form of currency and non-monetary assets such as physical objects, intellectual property rights, land use rights, and equity, except for assets that are prohibited by laws and regulations from being used as contributions. In case it is otherwise stipulated in laws, administrative regulations, or decisions made by the State Council regarding the minimum registered capital required for a limited liability company, those provisions shall be complied with.
4. Have articles of association that meet the requirements
In accordance with the requirements of the State Administration for Market Regulation on standardizing business scope, market entities should use standardized items for registration when applying for a business license; existing market entities that intend to change their business scopes should use standardized items to regulate the content of their originally registered business scope. You can log in to the Beijing Enterprise Service e-Window Platform to conveniently and quickly query and select standardized expressions of business scope that match your business activities. After the implementation of the business scope standardization reform, the specific content of licensing approval documents will no longer be registered on the business license. Both pre-approval and post-approval items should be registered using standardized items corresponding to the relevant licenses. Market entities applying to engage in pre-approval items should submit relevant approval documents when applying for registration.
5. Have an eligible domicile
Market entities should use genuine, legal, and safe fixed premises with non-residential planning purposes as their domicile for registration through a domicile commitment declaration, and be responsible for the authenticity, legality, and safety of the domicile.
6. Engage in business activities that comply with national regulations
In accordance with the requirements of the State Administration for Market Regulation on standardizing business scope, market entities should use standardized items for registration when applying for a business license; existing market entities that intend to change their business scopes should use standardized items to regulate the content of their originally registered business scope. Processing Procedures
1. Application and Acceptance
(1) The applicant shall submit business application documents at the service window of the government service hall.
(2) If the application can be accepted on the spot or meets the acceptance criteria after on-the-spot corrections, the authority will proceed directly to the acceptance step and issue an acceptance notice on the spot.
(3) If the application meets the acceptance criteria after corrections based on the one-time notification, an acceptance notice will be issued.
2. Review and Decision-making
(1) If the application documents are complete, comply with legal forms, conditions, and standards, and pass the review, the authority will make a decision to grant administrative licensing.
(2) If the application documents are incomplete, do not comply with legal forms, conditions, and standards, and fail the review, the authority will make a decision to deny administrative licensing.
3. Certification and Delivery
The business processing results can be collected at the window or delivered by mail.
