What are the procedures and required documents for converting a foreign-invested enterprise into a domestic enterprise?

The organizational form, structure, and activity guidelines of foreign-invested enterprises are governed by the Company Law of the People's Republic of China, the Law of the People's Republic of China on Partnerships, and other relevant laws. In line with the principle of equal treatment for domestic and foreign investments, enterprises may apply to change their shareholders. Required documents for shareholder change include: 1. Company Registration (Filing) Application Form; 2. A resolution or decision to amend the company's articles of association; 3. The company's articles of association or the amendment to the articles of association; 4. Copies of approval documents or permits (if the change requires to report for approval by laws, administrative regulations, or decisions of the State Council); 5. Shareholder change: The share transfer agreement or share transfer certificate signed by both shareholders; a copy of the new shareholder's qualification document or natural person identification. Natural person shareholder change: The proof of payment or tax declaration related to personal income tax associated with the share transaction.
