Is it necessary to submit an annual report every year for a foreign-invested enterprise? What is the deadline for submission? What information is required?

Yes, it is. The annual report shall be submitted between January 1 and June 30 each year. The content of the annual report includes: 

1. As required by the Interim Regulation on Disclosure of Corporate Information, (a) Information on the enterprise's communication address, postal code, contact number, email address, etc.; (b) Information on the enterprise's operational status, including commencement of business, suspension of business, and liquidation; (c) Information on the enterprise's investments in establishing other enterprises and acquiring equity; (d) For a limited liability company or a joint-stock company, information on the amount of capital contribution subscribed and actually contributed by shareholders or promoters, time of contribution, and method of contribution; (e) Information on changes in shareholding, including transfers of shares by shareholders of a limited liability company; (f) Information on the enterprise's website and the name and website of any online stores engaged in e-commerce; (g) Information on the enterprise's number of staff, total assets, total liabilities, external guarantees, total owner's equity, total operating revenue, main business income, total profits, net profits, and total tax payments.
2. According to the Notice by the State Administration for Market Regulation, the Ministry of Commerce and the State Administration of Foreign Exchange of Effectively Completing the Work Concerning the Annual Return Reform of “Consolidating Multiple Returns into One” (Guo Shi Jian Xin [2019] No. 238), information on foreign investment and others shall also be submitted.
